Partner Program Agreement

This agreement is between Anvil Holdings LLC ("Anvil Aminos," "we") and you, the partner. You accept it by clicking "Accept" in your partner dashboard. It covers the partner page, the discount code, and the commission we pay on orders you refer.

1. What the program is

The program is a research-verification partnership. You publish content about how you verify research-compound sources. We give you a partner page, a discount code for your audience, and a commission on the orders they place. You are an independent contractor, not an employee, agent, or representative of Anvil Aminos. The program is not exclusive: you may work with other companies, and we may work with other partners.

2. Research use only

Every Anvil Aminos product is sold strictly for in vitro and laboratory research use. Products are not for human or veterinary use (see our RUO Policy). Everything you publish about Anvil Aminos must be consistent with that.

3. Content standards

When you mention Anvil Aminos or our products, you may discuss how you verify sources, how to read a certificate of analysis, laboratory testing methods, published research and its limits, and independent test results.

You may not:

• state or imply that any product treats, cures, heals, prevents, or improves any condition, or produces any health, physical, cosmetic, or performance outcome;
• give or suggest dosing, amounts, schedules, "protocols," "stacks," or "cycles";
• describe or demonstrate administration (injecting, ingesting, applying, or otherwise using a product on a person or animal);
• describe personal use, or post "before and after" or "what it did for me" content;
• suggest any use on pets, horses, or other animals;
• describe any product as safe, legal for personal use, approved, or FDA-anything;
• give medical advice. If you hold a professional license (for example MD, DO, NP, PA, DPT, RD, or DVM), you may not present Anvil Aminos in your professional capacity.

Your partner page is checked against these standards before it is published, and we may edit, decline, or unpublish it at any time. If a post breaks these standards, we may ask you to edit or remove it, and you agree to do so within 48 hours.

4. Disclosure

Every post, video, story, newsletter, or other content that mentions Anvil Aminos, your code, or your partner page must clearly disclose that you are a paid partner. That means "Paid partner" or "#ad," placed where it can't be missed: in the video itself (spoken or on screen) and not only in the caption, and using the platform's paid-partnership label where one exists. This is required by the FTC's Endorsement Guides. Your partner page carries its own disclosure automatically.

5. Platforms and promotion methods

You are responsible for following the rules of every platform you post on. You may not:

• run paid ads using the Anvil Aminos name, our products, or your code without our written approval;
• bid on our brand names in search ads;
• post your code on coupon, deal, or cashback sites;
• send unsolicited bulk messages (spam);
• use cookie-stuffing, hidden links, or misleading redirects;
• register domains, handles, or accounts that use our trademarks.

6. Commission

• Rate. Commission starts at 15% and rises with your lifetime referred revenue (the commission base of your completed, unrefunded orders): 18% from $1,000, 20% from $5,000, 22% from $10,000, 25% from $25,000, and 30% from $50,000. A new rate applies to orders placed after you reach it. Your current rate is shown in your dashboard. We may change these rates for future orders with 14 days' notice; changes never apply to orders already placed.
• Founding partners. If your dashboard shows you as a founding partner, your commission starts at 20% instead of 15%, and your rate never drops below that starting rate, even if we change the rates above. From $10,000 in referred revenue the rates above apply as normal.
• Base. Commission is calculated on the merchandise value of an order after every discount. It excludes shipping, tax, and fees.
• Attribution. An order is credited to you when the customer uses your code, or places it within 30 days of their last visit to your partner page and no other partner's code was used. If repeat-order commission is enabled for you (shown in your dashboard), it applies to later orders from customers you referred, for the period shown. Each order is credited to one partner at most. Our records decide attribution.
• Not eligible: orders you place yourself or for your own household, orders from accounts you control, and orders we reasonably believe are fraudulent or result from a breach of this agreement.

7. Hold period and payouts

• Commission is earned once an order is delivered and its 30-day hold passes without a refund, cancellation, or chargeback.
• Earned commission is paid weekly, once your earned balance reaches $25, by a payout method we both agree on.
• If an order is refunded or charged back after you've been paid for it, that commission is deducted from your future payouts.
• We pay commission only after you have accepted this agreement and we have received your tax form (section 8). Commission earned before then is held until both are in place.

8. Taxes

Before your first payout, US partners must submit a Form W-9, and non-US partners a Form W-8BEN. We collect these through a secure third-party tax service; tax ID numbers are never stored in our order or partner systems. If you are a US partner paid $600 or more in a calendar year, we will issue you a Form 1099-NEC. You are responsible for your own taxes on what you earn.

9. Use of our name and materials

While this agreement is in effect, you may use the Anvil Aminos name and any materials we provide, solely to identify us as the source on your partner page and in compliant content. You may not alter our marks, or imply that you are Anvil Aminos or speak for us. This permission ends when the agreement ends.

10. Data and confidentiality

Your dashboard shows aggregate clicks, conversions, and commission amounts. You will not receive customer names, contact details, or order contents, and you may not try to obtain them. Treat any non-public program terms we share with you as confidential.

11. Ending the agreement

Either of us may end this agreement at any time, for any reason, by notice through the dashboard or by email. When it ends:

• your partner page and code are deactivated;
• commission on orders placed before then is still paid once it clears the hold period;
• if we end it because you breached this agreement or committed fraud, we may withhold commission connected to that breach or fraud.

12. Responsibility for your content; limits

You are responsible for the content you publish. You agree to cover any claims, losses, or costs arising from your content or from your breach of this agreement, including reasonable legal fees. Except for that obligation, neither of us is liable to the other for indirect or consequential damages. Our total liability under this agreement is limited to the commission owed to you for the three months before the claim.

13. General

California law governs this agreement, and disputes will be resolved in the courts of San Diego County, California. If we update this agreement, the new version applies once you accept it in your dashboard. Until then, you may not submit new page changes, and your existing page stays as it is. This is the entire agreement between us about the program.
